WATTPAD PRESENTS STRANGE YARNS OFFICIAL RULES & REGULATIONS
BEFORE YOU SUBMIT AN APPLICATION, PLEASE READ THESE OFFICIAL RULES AND REGULATIONS (“RULES”) IN THEIR ENTIRETY. YOU MUST SIGNIFY YOUR AGREEMENT TO BE BOUND BY THESE RULES BY CLICKING THE CHECKBOX “I AGREE” WHERE INDICATED ON THE WATTPAD PRESENTS USER REGISTRATION FORM (http://wattpadpresents.com/registration).
Wattpad Presents Strange Yarns (“WPS”) is a co-operative between The Coup Company Ltd. (“Coup”) and Wattpad Corp. (“Wattpad”) that uses Coup’s film accelerator technology for filmmakers to develop and market films through a social web platform. WPS makes available up to thirty six thousand Canadian dollars ($36,000.00 CDN) to produce up to 6 short film adaptations of Josh Saltzman’s anthology entitled “Strange Yarns”.
1. Participant Eligibility
In these Rules, those person(s) who are eligible to participate in WPS are called “Creators”.
- Each Creator must be a Canadian citizen or Permanent Resident of Canada.
- Each Creator must have reached the age of majority in his/her province or territory of residence.
- Each Creator must reside in Canada. If a Creator does not reside in Canada, they must pay Canadian Income Tax and maintain a permanent residence in Canada.
- Creators may not apply with more than one (1) Project (defined below).
- The following individuals are not eligible to participate in WPS as Creators,
- Employees or representatives of either Coup or Wattpad, or their respective affiliated entities, shareholders or an immediate family member of such an employee, or representative (parent, sibling, spouse or child) or a person living in the same household as such an employee (whether related or not); and
- Individuals (or immediate family members of individuals) who are connected in any way with the evaluation of the Projects (defined below) at any point during the Advancement Period (defined below).
(a) Application Period
The opportunity to participate in WPS begins at 03:00 PM ET on Tuesday, June 13, 2017 and ends at 08:00 PM ET on Sunday, July 23, 2017 (the “Application Period”). Creators must register their respective proposed short film Project (individually, a “Project” and collectively, the “Projects”). Application Period dates are subject to change in WPS’s sole and absolute discretion.
To be eligible for WPS, Creators must complete application requirements by the end of the Application Period in accordance with the directions at www.wattpadpresents.com (the “Website”). There is a limit of one (1) application per Creator. The Coup Company will confirm receipt of all application requirements.
(b) Application Requirements
During the Application Period Creators must complete the following information and provide the below materials (collectively, the “Application”):
Each Creator must register a WPS user account with a personal email login at the Website. Before continuing, the applicant must confirm their Email address by responding to a verification E-mail.
(ii) Project Overview
After Email verification, each Creator must create a new project by completing a Project Overview that includes the selection of a “Strange Yarns” story which the creator intends to adapt, synopsis, director bio, director photo, video thumbnail and project image.
(iii) Pitch Video
Each Creator must submit a pitch video (the “Pitch”) for their Project that will represent the Creator’s concept for a short film based on their selected “Strange Yarns” story. WPS does not require the Pitch to feature the final cast, locations or script. Pitches may have a maximum running time of 60-seconds, must be shot in HD quality, 1920x1080p resolution, and by uploaded to YouTube and set to “Public.”
(iv) All Applicants
All Creators that meet the application requirements will have their Projects published on the Website when the Advancement Period (defined below) launches.
(a) The Advancement Period
From 02:00 PM ET on Saturday, July 29, 2017 until 08:00 PM ET on Wednesday, August 30, 2017*, the “Advancement Period” combines:
- Voting Windows (defined below) and Advancement Gateways (defined below).
- Marketing & social media promotion.
- A Mission (defined below) designed to help Creators develop and promote their Projects.
- Announcement of the Final 6.
*Dates are subject to change in WPS’s sole and absolute discretion.
(b) Advancement Requirements
(i) Chain of Title
Each Project must be an idea based on one of the “Strange Yarns” stories identified on The Website, and the materials submitted by Creator including but not limited to underlying designs, ideas, concepts, stories, characters, scripts and other written and visual materials, must originate solely from the Creator and also be based on the “Strange Yarns” anthology and cannot be in any way encumbered by any pre-existing legal agreement or otherwise.
Creator acknowledges and agrees that Coup and Wattpad have wide access to concepts and other materials developed internally and through other third parties that may be similar to the Creator’s Pitch, and nothing contained in this agreement shall restrict Coup or Wattpad from making any use of any such concept developed or obtained independent from the Pitch without any obligations to the Creator.
(ii) Voting Windows
There will be up to two scheduled social “Voting Windows” (each a “Voting Window”).
Voting Windows are as follows:
- Voting Window 1: July 29 - August 1, 2017*
- Voting Window 2: August 15 - August 27, 2017*
During Voting Windows, visitors to the Website will be permitted 1 vote per project, per day.
All votes will be audited and verified algorithmically.
*Dates are subject to change in WPS’s sole and absolute discretion.
(iii) Marketing and Social Promotion
Creators are expected to promote their Project and Mission via their personal social media accounts (ie. Facebook and Twitter). The Creator’s Performance Indicators (defined below) on social media will contribute to their advancement.
(iv) Creator Mission
Creators will have the option of completing a Mission to further engage their audience.
A “Mission” is a video assignment designed to further develop and promote a Project. The Mission contains minimum content requirements that will be published on the Website in accordance with a set schedule. Creators will have a minimum of five (5) days to complete the Mission and submit the Mission content to the Website before the set deadline. WPS will publish the Mission content on the Website in accordance with a weekly schedule.
(v) Delivery of Short Film (Final 6 Only)
All finalists will be given a Stipend (defined below) in exchange for the delivery of a completed Short Film based on the Projects developed and promoted through WPS.
Short Film delivery specifications are as follows:
- Length - 3 minutes minimum to 6 minutes maximum
- Resolution - 1920x1080
- Format - mp4 or mov
- Coup & Wattpad Credits - Credit specifications TBD
(vi) Premiere Event (Final 6 Only)
The Final 6 Short Films will premiere at an industry event, to be determined a later date.
(c) Advancement Gateways
There are up to two points when Creators can advance, these are “Advancement Gateways”. WPS will announce the Creators that have advanced at scheduled dates and times on the Website. Gateway dates are subject to change in WPS’s sole and absolute discretion.
WPS’s performance algorithms (collectively “Performance Indicators”) are designed solely by Coup to reward qualitative over quantitative engagement within the Website and across social networks.
To prevent unfair gaming of Performance Indicators, WPS is unable to publish specific data points and weight allocations for any given criteria.
At each Gateway, Creators will advance based on a weighted calculation of the following criteria (“Performance Criteria”):
- Performance Indicators within the Website
- Performance Indicators from social networks
- Voting results
WPS reserves the right to select any Project for advancement at WPS’s sole discretion.
4. Final 6
WPS will select up to 6 finalists at WPS’s sole discretion.
These finalists will be evaluated by WPS having regard to the:
- Cumulative Performance Criteria commencing from the launch of the Advancement Period through to the announcement of the finalists.
- The strength of the overall Project including Mission content and marketing efforts.
The selection by WPS of the finalists shall be final and binding and is not subject to any challenge or appeal. The method of eliminating Creators from WPS are established by WPS, as set forth in these Rules and Regulations (as such may be changed, modified or amended from time to time in WPS’s sole discretion with or without prior notice). Each Creator understands that his/her failure or refusal to comply with the Rules and Regulations (as they may be changed, modified or amended by WPS in its sole discretion from time to time without prior notice) in any respect or to any degree may result in such Creator and their Project’s immediate elimination from WPS and/or the forfeiture of eligibility.
5. Stipend (Final 6 Only)
The Final 6 Creators will be given a Stipend of up to six thousand Canadian dollars ($6000.00 CDN) each in exchange for the delivery of a completed Short Film based on the Project developed and promoted through WPS. These funds will be delivered upon announcement of the Final 6 projects.
If a Creator does not deliver a Short Film meeting the above indicated requirements, the Creator will be considered in breach of contract and will be required to repay the Stipend within 30 days of the short film delivery date as defined by a yet to be determined schedule.
6. Grant of Rights To Creator
By submitting an Application, each Creator hereby acknowledges and agrees that:
(a) Each Project is an adaptation of the “Strange Yarns” anthology by Josh Saltzman, an IP owned and controlled by Wattpad. As an exclusive condition of the Creator’s participation in WPS, Wattpad grants the Creator right to develop materials based on, adapted from, and/or inspired by the “Strange Yarns” source material solely for the purposes of WPS.
(b) Creator is prohibited from using any materials developed for WPS and/or based on the “Strange Yarns” IP for any purposes commercial or otherwise other than participation in WPS.
(c) Notwithstanding the foregoing, Wattpad grants the Creator a non-exclusive, royalty-free, revocable right to use their Project and any portion thereof, based on the “Strange Yarns” source material, in any non-commercial, self promotion or marketing including posting to personal websites and social media channels of Creator in accordance with any guidelines which may be provided to Creator by Wattpad from time to time.
7. Grant of Rights To Coup and Wattpad
By submitting an Application, each Creator hereby acknowledges and agrees that:
(a) In consideration of entering an Application in WPS, Creators, on behalf of themselves, their heirs, executors, administrators and assigns, hereby grant to Coup and Wattpad (collectively, the “Sponsors”) an irrevocable, non-exclusive, sub-licensable, perpetual, royalty-free, worldwide license and right to broadcast, publicly display, exhibit, edit, modify and/or otherwise use the Application, Project, and all results and proceeds of each Creator’s participation in WPS including without limitation the Short Film (collectively, the “Materials”) and every element thereof, in whole or in part, in any manner or medium now or hereafter known or devised in connection with any merchandising, advertising, marketing, promotion or any other commercial or non-commercial purpose in relation to WPS.
(b) The Short Film is specially commissioned by Wattpad as works made for hire. Accordingly, Writer acknowledges and agrees that Wattpad is the author and owner of all right, title and interest in and to the Short Film, including but not limited to all copyrights and other proprietary rights in the Short Film (and all renewals and extensions thereof), with the right to use and change the Short Film in any manner that Wattpad may determine.
(c) If the Short Film is determined not to be a work made for hire, Writer hereby irrevocably assigns, transfers and conveys to Wattpad, solely and exclusively, in perpetuity, all right, title, and interest in and to the Short Film, including without limitation any and all copyrights and trademarks in the Short Film (and renewals and extensions thereof). Such assignment is effective upon creation of the Short Film and no further action need be taken to make such assignment effective. The rights conveyed in the assignment include, but are not limited to, the right to display or otherwise use the Short Film in any form, medium, expression or technology now known or hereafter devised, throughout the world, in perpetuity, in any and all languages, and in derivative works for all purposes including, without limitation, in connection with the distribution, advertising and exploitation of any of its products, services or programming.
(d) Creators irrevocably grant to the Sponsors, where not prohibited by law, an irrevocable, perpetual, worldwide, royalty-free, license to use Creator’s name, voice, likeness and biographical material, in any merchandising, advertising, marketing, promotion or any other commercial or non-commercial purpose related to the Application and/or WPS or in any other way the Sponsors deems appropriate.
(e) Creators hereby waive the exercise of any “moral rights”, including without limitation, the rights of integrity, attribution and association, to which a Creator is now or may later become entitled in any part of the world in connection with the Materials and the Sponsors’ use of the Likeness, including without limitation any and all personality and privacy rights, to enable the Sponsors to make fullest use of the Materials and Likeness as contemplated in this release and in the Rules and Regulations.
(f) Creators will not be paid any money for giving the Sponsors the rights granted in the Rules and Regulations, or for participating in WPS, the sole consideration for which being the Sponsors’ consideration of their Projects as one of 5 possible Final Projects, which they acknowledge is good, valuable and sufficient.
(g) Creators have no right of approval or consultation with respect to the Sponsors’ use of the Materials. the Sponsors will not be responsible for the return or preservation of any Materials. the Sponsors shall use its sole and absolute discretion in determining the extent and manner of the use of the Materials, and the Sponsors are not obligated in any way to use or exploit the same or any rights granted by Creator, or any portion thereof, in any medium or any manner whatsoever, including but not limited to use on the Website. Each Creator further agrees that the Materials are not being submitted to the Sponsors in confidence or in trust, and that no confidential or fiduciary relationship is intended or created. Any waiver of any right hereunder by the Sponsors does not constitute a general waiver of any obligation of Creators.
8. Compliance with Rules and Regulations
All Applications may be reviewed for compliance with these Rules; however, such review does not relieve Creators from responsibility for compliance with these Rules. Creators and Applications that do not comply with these Rules or that otherwise contain prohibited or inappropriate content as determined by WPS, in its sole and absolute discretion, may be disqualified at any time. WPS (and/or its designated agent(s)), in its sole and absolute discretion, makes the final determination as to which Creators and Applications are accepted and are eligible to participate in WPS.
From time to time during the WPS Application Period, WPS may, in its sole and absolute discretion, choose to feature certain Creators and Materials on the Website and/or in advertising materials. You acknowledge that being featured on the Website and/or in advertising materials in no way impacts the likelihood of success of the Creators being selected as one of the Final Projects nor does the inclusion of any Materials on the Website and/or in advertising materials indicate that WPS considers any Application or Project to be a good example of a viable Project, nor does it indicate WPS’ preference for/endorsement of any Project and/or the subject matter of any Project.
9. Conditions of Participation
As conditions of participation in WPS and by submitting an Application, each Creator represents and warrants that:
(a) the Materials (including the Application and Project) have originated solely from the Creator and Creator shall have sole liability for all third party claims relating to or regarding the content of their Application and Project;
(b) the Materials (including the Application and Project) have been legally obtained and/or created do not infringe the intellectual property, privacy or publicity rights or any other legal or moral rights of any third party or violate applicable laws or regulations standards;
(c) the Creator has not granted or transferred any rights in or to the Project or Application to any third party prior to the date of submission;
(d) the Creator has not done anything which has impaired and will not do anything to impair the rights granted to WPS (and/or its designated agent(s)) in these Rules in any way;
(e) the Creator has secured written permission from all individuals depicted in their Materials and that such permission is extended to WPS (and/or its designated agent(s)) for WPS’s use as set forth herein in any manner it deems appropriate;
(f) the Materials conform to all of the Application requirements and Rules set out herein; and
(g) the Creator will be available to participate in WPS as when and where required in accordance with the Rules.
By submitting an Application to WPS, each Creator agrees to indemnify and hold harmless WPS (and/or its designated agent(s)), their respective parents, and its and their subsidiaries, affiliates, successors, licensees, and assigns, and each of their directors, officers, agents, equity holders and employees and all persons and entities in connection with WPS (“Released Parties”) from and against any and all claims, losses, costs, damages, liabilities and costs and expenses (including reasonable legal fees and costs) which arise in connection with the Materials or out of any breach of these Rules.
10. Limitations on Liabilities; Remedies
By submitting an Application, each Creator agrees that:
(a) any and all disputes, claims and causes of action arising out of or connected with their Materials, and/or WPS (and/or its designated agent(s)) will be resolved individually, without resort to any form of class action;
(b) any and all claims, judgments and awards will be limited to actual third-party, out-of-pocket costs incurred, but in no event will legal fees be awarded or recoverable;
(c) under no circumstances will any Creator be permitted to obtain any award for, and Creator knowingly and expressly waives all rights to seek, punitive, incidental, consequential or special damages, lost profits and/or any other damages;
(d) the Creator irrevocably waives any right to seek injunctive or equitable relief; and
(e) the Creator releases and holds harmless Released Parties from any and all claims that any commercial, advertising, presentation, web content or any other material subsequently produced, presented, and/or prepared by or on behalf of WPS (and/or its designated agent(s)) infringes on the rights of the Creator as contained in any Materials or otherwise.
11. General Terms and Conditions
(a) All Creators must be registered on the Website. The names of the Creators submitting the Application and Project must be the name of the Creators who registered on the Website with such email address, and the authorized account holder of such email address, otherwise the entry may be deemed void. In the event of dispute over the identity of a Creator, an Application and Project will be declared made by the authorized registered user of the email address through which the Application was entered and the Creator may be required to provide identification sufficient to show that he/she is the authorized account holder of such email address. It is the sole responsibility of the Creator to notify WPS in writing if the Creator changes his or her e-mail or postal address during the WPS Registration Period.
(b) The Coup Company has the right at any time to require additional proof of identity and/or eligibility. Failure to provide such proof within a reasonable time could result in disqualification. All personal details and information requested by and supplied to The Coup Company must be truthful, accurate and in no way misleading. The Coup Company reserves the right to disqualify any Creator from WPS in its sole discretion should any Creator at any stage supply untruthful, inaccurate or misleading personal details and/or information or should any Creator cease to be eligible to continue.
(c) If for any reason WPS is not capable of being administered as planned, including without limitation, lack of sufficient number of Applications/Projects and/or Voters to support the continuing of WPS, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of WPS, or for any reason The Coup Company deems, in its sole and absolute discretion, that WPS is not meeting the expected goals, The Coup Company reserves the right, in its sole and absolute discretion to change the Official Rules and Regulations, the structure, process, timing, schedule, or any other aspect of WPS, at any time, including the cancellation, modification or termination WPS, for any reason, without further notice.
(d) If The Coup Company determines, in its sole and absolute discretion, that any Creator or Voter has not complied with these Rules in any way, for example (i) by use of proxy voting, (ii) by registering more than one (1) time on the Website and/or using multiple e-mail or dummy e-mail addresses, or (iii) by other fraudulent means in an attempt to cast more than the eligible Votes, then The Coup Company reserves the right to cancel the offending account, disqualify all their Votes, disqualify any Application that they have submitted and disallow any further participation by such individual in WPS.
(e) The Coup Company reserves the right, at its sole and absolute discretion, to disqualify any Creator and their Application and/or Votes deemed to be (a) tampering or attempting to tamper with the entry or voting process or the operation of WPS or any Coup Company website; (b) violating the Rules; (c) violating the terms of service, conditions of use and/or general rules or guidelines provided by The Coup Company; or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any attempt by a Creator or any other individual to deliberately damage any website associated with WPS or to undermine the legitimate operation of WPS may be a violation of criminal and/or civil laws. Should any such attempt be made, The Coup Company reserves the right to seek remedies and damages to the fullest extent permitted by law.
(f) The Coup Company reserves the right, in its sole and absolute discretion, to require Creators to submit to a confidential background check to confirm eligibility and help ensure that the participation of any such person in WPS will not bring The Coup Company into public disrepute, contempt, scandal or ridicule or reflect unfavourably on The Coup Company, its agents or WPS as determined by The Coup Company in its sole and absolute discretion.
(g) By submitting an Application, each Creator agrees to waive the right to challenge the results of any voting or any decision by The Coup Company or its agents.
(h) These Rules and compliance with these Rules will be binding on Creators, Voters, and all other participants in WPS and their heirs, administrators, executors, successors and assigns.
(i) Creators are solely responsible for reviewing these Rules with their legal and tax advisors to determine their potential tax liability, if any, in connection with receiving any financing as part of WPS. Creator Members shall be solely responsible for paying all local, provincial and federal and all other tax obligations arising from any financing. Creators hereby release the Released Parties of any and all liability in connection with any such taxes. The Coup Company may deduct, withhold or require payment of any such taxes before delivery of the financing at its sole discretion.
(j) The construction, validity, interpretation and enforceability of the Rules and WPS will be governed by and construed in accordance with the laws of the Province of Ontario without giving effect to any choice of law or conflict of law rules, and that parties agree to submit exclusively to the jurisdiction of the Courts of Ontario that are located in Toronto Ontario. Notwithstanding the foregoing, Creator acknowledges that The Coup Company may nonetheless: (1) seek to obtain injunctive or other equitable relief from a court to enforce the provisions of these Rules; and/or (2) bring an action in court to protect or interpret any of The Coup Company’s intellectual property rights.
(k) Creators are not entitled to assign their rights or obligations under these Rules at any time. The Coup Company has the unlimited right to assign its rights and obligations under these Rules at any time, in whole or in part, to any party.
(l) Creators will execute any documents (after being afforded a reasonable opportunity to review and/or confirm the same) and do any other acts as may be reasonably required by The Coup Company to further evidence or effectuate The Coup Company’s rights as set forth in these Rules, and Creators appoint The Coup Company as their attorney-in-fact (which appointment is irrevocable and coupled with an interest), with full power of substitution and delegation, but only to execute any and all such documents, or perform such acts, which Creator fails to execute (after being afforded a reasonable opportunity to review and/or confirm the same).
(m) In the event of any dispute concerning the operation of any element of WPS or these Rules, the decision of The Coup Company will be final. The Coup Company’s decisions in relation to WPS will be final and binding without the right of appeal.
(n) By entering an Application for participation in WPS and by voluntarily providing personal information (including, but not limited to, email address, first name, last name, and contact phone number) (collectively the “Creator Information”) Creators consent and agree to: (i) The Coup Company’s collection and use of the Creator Information and the Application, for the purpose of selecting the participants in WPS and otherwise as may be necessary to conduct and administer WPS; (ii) The Coup Company’s right to use Creator’s likeness, name, and biography (collectively, “Likeness”), in connection with all promotional activities related to WPS and the Project in all media and formats without restriction (including, but not by way of limitation, on websites or other online media and in advertising, publicity and exploitation in connection with WPS and the Project); (iii) the Materials (including the Application) are not subject to any obligation of confidentiality; (iv) The Coup Company and the Released Parties shall not be liable for any use or disclosure of the Materials (including the Application) as contemplated in these Rules; and (v) The Coup Company and the Released Parties are released from any and all liability arising out of the collection, use and disclosure of the Creator Information in the ways stated in these Rules.
(q) The Coup Company is not responsible for lost, late, incomplete or misdirected Applications for any failure of the Website (or any Creator’s inability to access the Website at any time), or computer on-line systems, servers, access providers, computer equipment, software, failure of any e-mail or on-line entry or Application or Materials to be received by The Coup Company on account of technical problems or traffic congestion on the Internet or the Website, lost/delayed data transmission, omission, interruption, deletion, defect, faulty, incomplete, incomprehensible, or erased computer or network transmissions or any combination thereof that may affect an individual’s ability to participate in WPS, or for any injury or damage to any person or to an Creator’s or any other person’s computer or property related to or resulting from using, downloading or sending any Materials in connection with WPS or in connection with Creator’s participation in WPS, or for late, lost, stolen, incomplete or misdirected submissions or The Coup Company’s use of the Materials and Creator’s Likeness, including without limitation, as a result of invasion of privacy, libel, defamation or infringement of copyright. The Coup Company reserves the right, in its sole discretion and without notice, to cancel, suspend or modify WPS, in whole or in part, for any reason including a virus or bug related to the Website or any other cause of any nature beyond the reasonable control of The Coup Company which corrupts or could corrupt or interfere with the security or proper administration of WPS, or for any other reason.
(r) Any attempt to deliberately damage the Website or to undermine the legitimate operation of WPS will render any Application submitted by an individual participating in such activity void and may be a violation of criminal and/or civil laws. Should such an attempt be made, The Coup Company reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.
(s) The Coup Company is not responsible for any errors, omissions, incorrect or inaccurate information the Rules, other WPS-related information.
(t) Any provision of these Rules that is invalid, illegal or unenforceable will be ineffective only to the extent of such invalidity, illegality or unenforceability, without affecting in anyway the remaining provisions hereof.
(u) Creators understand and agree that no failure or delay of The Coup Company in exercising its right, power or privilege hereunder shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise thereof or the exercise of any right, power or privilege hereunder.
